Indemnification 

You agree to indemnify and hold harmless H2T Digital Co., its directors, officers, shareholders, parents, subsidiaries, affiliates, agents, and licensors, from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation by you of this Agreement. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this section. In such an event, you shall provide us with such cooperation as is reasonably requested by us. 

 

Copyright Notice 

The contents of this Service (including, but not limited to text, photographs, graphics, video and audio content) is protected under the copyright laws of the United States. You agree to abide by all copyright notices and/or restrictions contained in this service. You may not copy, reproduce, distribute, publish, enter into a database, display, perform, modify, create derivative works, transmit, or in any way exploit any part of this Service, except that you may download material from this service for your own personal use. Without limiting the generality of the foregoing, you may not distribute any part of this service over any network, including a local area network, nor sell or offer it for sale. In addition, these files may not be used to construct any kind of database. 

 

Amendments and Modifications

Governing Law and Dispute Resolution 

This Agreement shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to conflict of law rules. If there is any dispute about or involving your use of the Service, you agree to exclusive personal jurisdiction and venue in the state and federal courts of the United States located in Birmingham, Alabama. Either H2T Digital Co. or you may demand that any dispute be settled by arbitration utilizing the commercial dispute procedures of the American Arbitration Association (AAA) and the arbitration shall take place in Birmingham, Alabama, provided that the foregoing shall not prevent H27 Digital Co. from seeking injunctive relief in a court of competent jurisdiction. 

 

Entire Agreement 

Unless otherwise specified, this Agreement constitutes the entire agreement between you and H2T Digital Co. with respect to the Service and supersedes all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and H27 Digital Co. with respect to the Service. 

 

Severability 

In the event any paragraph or portion of any paragraph of this Agreement shall be determined to be invalid or unenforceable for any reason, such invalidity or unenforceability shall not affect the validity and enforceability of the remaining valid and enforceable paragraphs hereof, and shall be the invalid or unenforceable portion shall be deemed amended but only to the extent necessary to make such portion enforceable and compatible with the remaining terms of this Agreement, and if such portion cannot be so amended the Agreement will be construed as if such invalid or unenforceable paragraph or portion had not been inserted.

Effective January 1, 2019 

WorkforceXL® is a web-based college and career readiness and sentiment platform owned and operated by H2T Digital Co., LLC (“H2TDigital”). WorkforceXL helps high school and college students, as well as adults find the appropriate career path through assessments and on-line curriculum. 

H2TDigital® is committed to protecting the information of those who use WorkforceXL. This Privacy Notice explains how we collect, use and protect information in WorkforceXL. 

Information provided by Educational Institutions: 

Schools, school districts, and colleges (“Educational Institutions”) provide only the minimally-necessary directory information of its students to H2T Digital in order for its students to create an account profile with WorkforceXL. This information is most often limited to a student’s name, a student identification number (not social security number), and the current grade level of the student. 

Information provided by individual users: 

Adults can provide their own personal identifying information, such as name, telephone, number, address, and email address. Adults can also provide their educational background information. 

Subject to contract limitations with Educational Institutions, students have the option of providing their email address, telephone number, and educational information such as last grade completed, grade point average, and scores on aptitude tests, such as the ACT. 

FERPA Compliance: 

The Family Educational Rights and Privacy Act (FERPA) provides parameters for what is permissible when sharing student information. H2T Digital is authorized by schools and school districts under FERPA’s “School Official ” exception to receive and use educational data to provide educational services. This data has significant educational value that enables students with the opportunity to access their sentiment for different occupations and allows the students and schools to track the student’s growth through the student’s progress through the educational curriculum and assessments. 

H2T Digital Co.’s Collection of Website data and Cookies: 

When using WorkforceXL, H2T Digital’s servers automatically collect the Internet Protocol (“IP”) address associated with the user’s computer. We may also collect additional information such as login timestamp, the browser type and version, and the operating system of the computer. This information is logged to help us to diagnose technical problems and to administer Workforce XL. 

To collect information about the use of WorkforceXL, we use cookies. Cookies are small data files sent by a website or application and stored on the computer or device at the request of that site or app. Cookies store information related to the browser to enable us to recognize the browser on return visits to WorkforceXL and to remember your preferences. We use third-party service providers to assist us in collecting and understanding the usage information. Most browsers can be set to detect browser cookies and to let you reject them, but refusing cookies may make it difficult to use WorkforceXL. TO learn more about browser cookies, including how to manage or delete them, look in the Tools, Help or similar section of your web browser. 

H2T Digital’s Collection of User information: 

Individuals who have an account with WorkforceXL (“Users”) have the option of taking on-line assessments and to take part in on-line educational and career development curriculums. H2T Digital keeps User’s data, such as scores, assessment results, and curriculum progress, on a cloud-based server. H2T Digital takes reasonable steps to ensure that the User data is protected. The User data is kept for a minimum of five (5) years. A User can access his/her information either on-line or can request a physical transcript by contacting H2T Digital. If the 

User is a minor, then a parent or legal guardian may review any educational data collected pertaining to their children. Upon request, and after verifying identity, H2T Digital will provide parents and legal guardians access to this data within 45 days of a request. A User may also request that all of his/her personal information be removed from H2T Digital’s databases upon sending a written request to H2T Digital. 

How H2T Digital Co. Uses and Discloses Information: 

User’s personal information is not made available to any third-party absent the User’s consent. For any User under the age of eighteen (18) that consent must come from a parent or guardian. Educational Institutions, who are not third parties, are entitled to all of the data collected by H2T Digital for their students’ usage of WorkforceXL.

H2T Digital also may disclose the aggregate data to third-parties who purchase that information for research purposes. The data provided to the third-parties is scrubbed and does not include any personal identification information. No individualized data is provided. 

H2T Digital may use information internally for the following purposes: 

  • To resolve a problem or support issue on behalf of a User or Education Institution. 
  • To investigate a suspected violation of the Terms of Service. 
  • As may be required by law or as ordered by a court, in which event we shall notify a User or 

Education Institution and shall work that person or entity to seek to limit the scope of the required disclosure. 

  • In the event of a reorganization, merger, sale, assignment, bankruptcy or other disposition of our business, in which case the transferred information will remain subject to the terms of this Privacy Policy. 

H2T Digital may use non-personal information, including aggregated, de-identified data for a variety of purposes subject to applicable law, including: 

  • to improve our educational products for adaptive learning purposes and for customizing the student experience
  • to demonstrate the effectiveness of H2T Digital and its programs, including in our marketing materials
  • to develop and improve our products. 

 

Data Security and Quality: 

H2T Digital is committed to data security and the data integrity of the information provided for and collected in Workforce XL. H2T Digital has taken precautions to protect personally identifiable information from loss, misuse, or alteration. Visitors should be aware, however, that even though protections are in place, H2T Digital cannot guarantee against the occurrence of hardware failure, unauthorized intrusion, or other technical problems. 

 

Updates to This Policy: 

H2TDigital reserves the right to update this Privacy Policy as needed. If any update affects the use or disclosure of a User’s information, then H2T Digital will provide advance notice to that User before such change is implemented.
